Bu rehber, ülkemizde taşınmaz edinmek isteyen yabancı uyruklu kişilere yardımcı olmak amacıyla hazırlanmıştır. Bununla beraber, bu rehber gerekli profesyonel danışmanlık hizmetlerini ikame etmemektedir.
2644 sayılı Tapu Kanunu’nun 18 Mayıs 2012 tarihinde yürürlüğe giren 6302 sayılı Kanun ile değişik 35. Maddesi uyarınca, yabancı uyruklu gerçek kişilerin ülkemizde taşınmaz edinmesinde karşılıklılık şartı kaldırılmıştır.
Ülkemizde hangi ülke vatandaşlarının taşınmaz ve sınırlı ayni hak ediniminin mümkün olduğu konusunda Türkiye Cumhuriyeti Büyükelçilikleri/Konsoloslukları ve Tapu ve Kadastro Genel Müdürlüğü’nden bilgi alınabilir.
Yabancı uyruklu gerçek kişiler, kanuni sınırlamalara uyulmak kaydıyla, ülkemizde nitelik bakımından her türlü taşınmaz (Konut, İşyeri, Arsa, Tarla) edinebilmektedir.
Yabancı uyruklu gerçek kişiler, satın aldıkları yapısız taşınmazda (Arsa, Tarla) geliştireceği projeyi iki yıl içinde ilgili Bakanlığın onayına sunmak zorundadır.
Türkiye’de yürürlükteki mevzuata göre, taşınmaz mülkiyetinin devri Tapu Müdürlüklerinde imzalanacak resmi senet ve tescil ile mümkündür.
Noter huzurunda “satış vaadi sözleşmesi” imzalanması mümkündür. Ancak noter huzurunda imzalanan “satış vaadi sözleşmesi” veya harici satış sözleşmesi ile taşınmaz mülkiyetinin kazanılması mümkün değildir.
a) Ülke genelinde, yabancı uyruklu bir gerçek kişi, en fazla 30 hektar taşınmaz satın alabilir ve sınırlı ayni hak edinebilir.
b)Yabancıların askeri yasak bölgeler ve güvenlik bölgelerinde taşınmaz edinimi ve kiralaması mümkün değildir.
c)Yabancı uyruklu gerçek kişiler, özel mülkiyete konu ilçe yüz ölçümünün %10’una kadar taşınmaz ve sınırlı ayni hak edinebilir.
d)Gerçek kişilerle yabancı ülkelerde kendi mevzuatlarına göre kurulan tüzel kişiliğe sahip ticaret şirketleri lehine taşınmaz rehni tesisinde kanuni sınırlamalar uygulanmaz.
e)Kanun hükümlerine aykırı olarak edinilen; edinim amacına aykırı kullanıldığı ilgili Bakanlık ve idarelerce tespit edilen; proje şartıyla satın almalarda süresi içinde ilgili Bakanlığa başvurulmayan veya süresi içinde projeleri gerçekleştirilmeyen; taşınmazlar tasfiye hükümlerine tabidir.
Alıcının ”Ülkemizde Taşınmaz ve Sınırlı Ayni Hak Edinebilen Ülke Vatandaşlarından olması ve Edinim Şartları”nı taşıması gerekmektedir.
Taşınmaz maliki veya yetkili temsilcisinin, Tapu Müdürlüğü’ne ön başvuru yapması gerekir.
(Ön başvurular genellikle öğle tatilinden önce, Tapu Müdürlüğü’nde sıra numarası alınarak yapılır.)
Ön başvuru koşullarında eksiklik olması ve tamamlanabilecek durumda olması halinde ön başvuru dosyası bekletilmektedir.
Türkiye Cumhuriyeti vatandaşları, (http://turkiye.gov.tr) veya Tapu ve Kadastro Genel Müdürlüğü (http://onlinerandevu.tkgm.gov.tr) randevu sisteminden sıra numarası alabilir.
a)Taşınmazın Tapu Senedi Belgesi veya köy/mahalle, ada, parsel, bina, bağımsız bölüm bilgisi,
b)Kimlik belgesi veya pasaport (Gerektiğinde tercümesi ile birlikte),
c) İlgili Belediyeden, taşınmazın ”Emlak Beyan Değeri Belgesi”nin alınması,
d)Binalar için (konut, işyeri… vb.) zorunlu deprem sigortası poliçesi,
e)Satıcının 1 adet, alıcının 2 adet fotoğrafı (son 6 ay içinde, 6×4 ebadında).
f) Türkçe bilmeyen taraf varsa yeminli tercüman ile iki tanık,
g)Yurt dışında düzenlenen vekaletname ile işlem yapılması halinde, tercümesiyle beraber vekaletnamenin aslı veya onaylı örneği.
Yurt dışında düzenlenen vekaletnamelerin özellikleri:
– Türkiye Cumhuriyeti Büyükelçiği veya Konsolosluğunca düzenlenen vekaletnameler.
– Yabancı ülke noterlerince düzenlenen vekaletnameler, 5 Ekim 1961 tarihli Lahey Sözleşmesine göre tasdik edilip, tasdik şerhinin ülke lisanı yanında Fransızca “Apostille (Convention de La Haye du Octobre 1961)” ibaresini de taşıması halinde bu tür belgeler ve vekaletnameler ile Türkçe tercümelerinde ayrıca o yerdeki Türk Konsolosluğunun tasdiki aranmaz.
– Ayrıca 5 Ekim 1961 tarihli Lahey sözleşmesine taraf olmayan yabancı ülkelerin noterlerinin düzenlediği vekaletnamelerdeki noterin imzasının bağlı bulunduğu makam tarafından, bu makamın imza ve mührü o yerdeki Türk Konsolosluğunca onaylanır.
a) İlgili Belediyeden alınan ”Emlak Beyan Değeri”nden az olmamak üzere satış bedeli üzerinden, hem alıcı hem satıcı tarafından tapu harcı ödenir. (492 sayılı Harçlar Kanununa göre 2013 yılı için belirlenen tapu harcı oranı %2’dir.)
b) Yöresel olarak belirlenen döner sermaye ücreti ödenir. (2013 yılı için en fazla 70×2.5 TL )
c) Taşınmazın askeri ve özel güvenlik bölgeleri dışında kalıp kalmadığının Tapu Müdürlüğü tarafından yetkili komutanlığa sorulması aşamasında gerekirse Kadastro Müdürlüğünce hazırlanan harita için döner sermaye ücreti (2013 yılı için: 323 TL) ödenir.
– Taşınmaz üzerinde, ipotek, haciz vb. bir kısıtlama bulunup bulunmadığı veya taşınmazın satışına engel herhangi bir durumun bulunup bulunmadığı gibi hususlar ilgili Tapu Müdürlüğünden kontrol edilmelidir.
– Taşınmaz edinme başvurusunun reddi halinde, işlem yapılan Tapu Müdürlüğü’nün bağlı olduğu Bölge Müdürlüğü’ne itiraz başvurusu yapılabilir.
– Uzman ve güvenilir olduğu bilinmeyen kişi veya firmalar ile çalışılmaması önerilir.
– Yabancının Türkiye’de taşınmaz edinebilmesi için ikamet izni almış olması şartı aranmamaktadır.
– Taşınmaz edinimine ilişkin taraflar arasında herhangi bir uyuşmazlık çıkması halinde, durum adli makamlara intikal ettirilerek Türkiye Cumhuriyeti mahkemelerinde dava açılması gerekmektedir.
Yabancı tüzel kişilerin Türkiye’de taşınmaz edinmeleri 2644 sayılı Tapu Kanunu’ nun 35.maddesi ile düzenlenmiştir.
a)Yabancı ülkelerde kendi ülkelerinin kanunlarına göre kurulan tüzel kişiliğe sahip ticaret şirketleri, ancak özel kanun hükümleri çerçevesinde taşınmaz ve sınırlı ayni hak edinebilirler.
İlgili özel kanunlar :
– 6326 sayılı Petrol Kanunu,
– 2634 sayılı Turizmi Teşvik Kanunu,
– 4737 sayılı Endüstri Bölgeleri Kanunu.
b) Bu ticaret şirketleri lehine taşınmaz rehni tesisinde sınırlama uygulanmaz.
c) Yabancı Ticaret şirketleri dışındaki tüzel kişiler (Vakıf, Dernek, vb.) taşınmaz edinemez ve lehlerine sınırlı ayni hak tesis edilemez.
Yabancı yatırımcıların birlikte veya ayrı ayrı %50 veya daha fazla oranda hissesine sahip oldukları veya bu hisse oranına sahip olmamakla birlikte yöneticilerin çoğunluğunu atayabilme veya görevden alabilme yetkisine sahip bulundukları Türkiye’de kurulu tüzel kişiliğe sahip “yabancı sermayeli şirketler” in taşınmaz edinimi, 2644 sayılı Tapu Kanunu’nun 36.maddesi ve 16/08/2012 tarihli ”2644 Sayılı Tapu Kanununun 36 ncı Maddesi Kapsamındaki Şirketlerin ve İştiraklerin Taşınmaz Mülkiyeti Ve Sınırlı Aynî Hak Edinimine İlişkin Yönetmelik”le düzenlenmiştir.
Konuyla ilgili Tapu ve Kadastro Genel Müdürlüğü’nün “Yabancı sermayeli şirketlerin taşınmaz ve sınırlı ayni hak edinmeleri” konulu, 2012/13 (1735) sayılı genelgesi yayınlanmıştır.
This guide is prepared to help foreigners who wish to buy property in Turkey. However, this guide is not a substitute for professional consultancy services.
In accordance with the Article 35 of the Land Registry Law No. 2644, amended by Law No. 6302, which entered into force on 18 May 2012, the condition of reciprocity for foreigners who wish to buy property in Turkey is abolished.
Information on countries whose citizens can buy property and estate in Turkey can be provided from the Turkish Embassies/Consulates abroad and the General Directorate for Land Registry and Cadastre.
Persons with foreign nationality can buy any kind of property (house, business place, land, field) within the legal restrictions.
Persons with foreign nationality who buy property without construction (land, field) have to submit the project which they will construct on the property to the relevant Ministry within 2 years.
According to the Turkish laws and regulations in force, transfer of ownership of a property is only possible with an official deed and registry which is signed at the Land Registry Directorates.
It is possible to sign a “sales commitment agreement” before a notary. However, legal ownership to the property do not pass with a “sales commitment agreement” or other kind of sales agreements to be signed before the notary.
a) Persons with foreign nationality can buy maximum 30 hectares of property in Turkey in total and can acquire limited in rem right.
b) Foreigners cannot acquire or rent property within military forbidden zones and security zones.
c) Persons with foreign nationality can acquire property or limited in rem right in a district/town up to 10 % of the total area of the said district/town.
d) Legal restrictions do not apply in setting mortgage for real persons and commercial companies having legal personality which are established in foreign countries.
e) The properties are subject to winding up provisions in following cases: (i) if the properties are acquired in violation of laws; ii) if the relevant Ministries and administrations identify that the properties are used in violation of purpose of purchase; iii) if the foreigner does not apply to the relevant Ministry within time in case the property is acquired with a project commitment; iv) if the projects are not materialized within time.
Buyer should be from the country whose citizens can acquire property or limited in rem right in Turkey and meet the necessary conditions.
The owner of the property or his/her authorized representative should make a preliminary application to the Land Registry Directorate. (Preliminary applications are made before noon by taking sequence number)
If the preliminary application is incomplete, the file will be kept waiting.
a) Tittle deed of the property or information on village/district, block, building plot, detachment.
b) Identification document or passport (Together with its translation).
c) “Property Value Statement Document” to be provided from the relevant municipality.
d) Compulsory earthquake insurance policy for the buildings (house, office, etc.)
e) 1 photo of the seller, 2 photos of the buyer (photos to be taken within last 6 months, 6×4 size)
f) (If one of the sides cannot speak Turkish) certified translator and 2 witness.
g) (If the power of attorney is prepared abroad) The original or certified copy of the power of attorney and its approved translation.
– Powers of attorney are issued by the Turkish Embassies or Consulates.
– If the power of attorney which is issued by a notary of a foreign country is certified according to The Hague Convention dated 5 October 1961 and if it bears “Apostille (Convention de La Haye du Octobre 1961)” in French, there is no need for an additional certification of the said power of attorney by the relevant Turkish Consulate.
– If the power of attorney is issued by a notary of a foreign country which is not party to The Hague Convention dated 5 October 1961, the signature of the said notary has to be certified by the relevant authority of the foreign country and then the signature and seal of the said foreign authority have to be certified by the Turkish Consulate in that country.
a) Both seller and buyer have to pay the tittle deed fee, calculated according to the selling price which cannot be less than the “Property Statement Value” to be issued by the relevant municipality. (According to the Charges Law No:492, the title deed fee percentage for 2013 is % 2.)
b) Circulating capital fee which is determined locally has to be paid. (Maximum 70×2.5 TL for 2013.)
c) At the stage when the Land Registry Directorate inquires with the relevant military authorities whether the property is located within a military or special zone, circulating capital fee for the map prepared by the Cadastre Directorate has to be paid. (323 TL for 2013)
– The foreigner has to inquire with the Land Registry Directorate if there is any limitation on the property, such as mortgage, arrestment or any obstacle which prevents the sale of the property.
– If the application by the foreigner for buying a property is rejected, the act can be appealed to the relevant Regional Office of the Land Registry Directorate.
– It is advised that foreigners do not work with persons/companies who/which are not expert or reliable.
– Having a residence permit is not a condition for the foreigner who wishes to buy a property in Turkey.
– If there is a disagreement between the sides on the sale of the property, the case has to be brought before the Turkish courts by referring to judicial authorities.
– Acquisition of property by the companies which are registered in Turkey is governed by the Article 35 of the Land Registry Law No 2644.
a) Foreign commercial corporations which are established according to the relevant laws of their countries of origin can acquire property and limited in rem rights within the provisions of special laws. These special laws are:
– Petroleum Law No. 6326
– Law on Encouragement of Tourism No. 2634
– Law on Industrial Zones No. 4737
b) No restriction is implemented in favor of the said commercial companies in establishing mortgage.
c) Other foreign corporations (i.e. foundation, association,…) cannot buy property and acquire limited in rem right.
The companies with foreign capital,
– If the foreign investors hold, individually or collectively, 50 % or more shares of the said company,
– If the foreign investors do not hold any share of the said company, but have a right to assign or remove the managers of the said companies on the condition that the said company has a legal personality in Turkey, could buy property in Turkey in accordance with Article 36 of Land Registry Law No. 2644 and the “Decree on Acquisition of Property and Limited in Rem Rights by Companies and Corporations within the Context of Article 36 of Land Registry Law No. 2644”, dated 16.08.2012.
